Agency Terms & Governance
We believe in transparent, straightforward contracts. No hidden fine print or restrictive multi-year retainers.
Agreement to Terms
By accessing or using the services, website, or digital marketing solutions provided by Hedge Marketing ("we", "us", or "our"), operating out of Venture House, Arlington Square, Downshire Way, Bracknell, RG12 1WA, UK, you agree to be bound by these Terms of Service. If you do not agree to all terms herein, you must refrain from using our services.
Scope of Services
Hedge Marketing provides digital growth services including, but not limited to:
- Search Engine Optimization (SEO), Answer Engine Optimization (AEO), and Generative Engine Optimization (GEO).
- Google Business Profile (GBP) & Local Map Pack ranking services.
- Custom WordPress & Shopify website development and e-commerce setups.
- Social media management and visual content creation.
- HubSpot CRM setup & automated lead generation workflows.
- Ongoing website support, security maintenance, and developer updates.
Specific scope, timelines, and deliverables for each project or retainer are detailed in your signed statement of work (SOW) or selected online subscription plan.
Billing & Payment Terms
Payment terms depend on the service type purchased:
- Monthly Retainers (SEO, Social Media, Support): Payments are processed monthly in advance via Direct Debit (GoCardless) or bank transfer.
- One-Off Projects (Web Development, CRM Setup): Fixed fee agreements typically require a 50% deposit upon commencement, with the remaining 50% due prior to website launch or final handover.
- No Retainer Lock-in: Monthly retainer services operate on a flexible month-to-month basis with no long-term restrictive contracts unless explicitly specified in a custom enterprise agreement.
- Late Payments: Accounts unpaid after 14 days from due date may incur a late fee and temporary suspension of services until settled.
Client Responsibilities
To ensure timely execution and maximum ROI, clients agree to provide necessary website access credentials, domain DNS controls, marketing materials, and feedback in a timely manner. Delays in client feedback or access approvals may impact project delivery timelines and campaign performance.
Intellectual Property & Ownership
Upon receipt of full payment, all bespoke designs, code, copy, and graphic assets created specifically for the client become the property of the client.
Hedge Marketing retains ownership of proprietary methodologies, pre-existing tools, software frameworks, and general agency know-how used during service execution. We reserve the right to display completed projects in our agency portfolio and case studies unless bound by a prior non-disclosure agreement (NDA).
Performance, Rankings & Disclaimers
While Hedge Marketing employs white-hat, industry-standard SEO and AEO/GEO practices to optimize visibility, third-party search engines (such as Google, Bing, ChatGPT, Perplexity, and Gemini) continuously update their proprietary ranking algorithms.
We guarantee adherence to organic search standards and performance tracking, but no agency can guarantee specific #1 organic rank positions or permanent AI citation positions due to external search engine variables.
Cancellation & Termination
Either party may terminate a month-to-month retainer service by providing a 30-day written notice via email to growth@hedgemarketing.co.uk. Upon termination, all active campaigns will conclude at the end of the paid billing cycle, and necessary logins/backups will be handed over to the client.
Limitation of Liability
To the maximum extent permitted by law under the jurisdiction of England and Wales, Hedge Marketing shall not be liable for any indirect, incidental, or consequential damages resulting from website downtime, third-party platform policy changes, or loss of revenue beyond the total fees paid by the client for the specific service in question.
Governing Law
These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any legal disputes or claims arising hereunder shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.
